of Skywest Limited

In July 2004, the Group acted as a financier
and shareholder of CaptiveVision Capital Ltd (“CVC”), a
Singapore company that successfully completed a takeover
of ASX listed Airline, Skywest Limited (“Skywest”), a Perth
based western Australia airline. Skywest holds an Air Operators
Certificate allowing international routing. Skywest is one
of Australia's largest and longest established regional
airlines, meeting the transport needs of millions of Western
Australians, domestic and international tourists for more
than 40 years. Skywest is the major regional airline in
Western Australia, providing scheduled services to sixteen
destinations. Skywest's regional charter service caters
for the specific needs of government, corporate, mining
and resources clients, requiring charter aircraft to the
state's most remote locations.
In March 2005, the Group and its affiliates acquired over
20% of equity interest in Skywest in the open market and
became the second largest shareholder in Skywest. After
the Group acquired Skywest, its operating profit before
tax was increased by almost 50% in FY2005 and declared interim
2005 dividend of A$0.0035 and final 2005 dividend of A$0.0068
per share.
In May 2006, CVC announced its intention to make a takeover
bid for all of the Skywest shares it did not already hold
and the Group has accepted an offer from CVC in respect
of its entire stake in Skywest for 0.4171 shares in the
capital of Advent Air Limited (the “Advent Shares”) and
A$0.227 per share in the capital of Skywest (“the Advent
Offer”). After the completion of the Advent Offer, the Group
is holding approximately 10 million shares (representing
approximately 5.5%) of Advent and recognized a profit of
over 65% of the investment cost.
Advent is a company incorporated in Singapore, and the Advent
Shares are traded on the alternative investment market (AIM)
of the London Stock Exchange.

of Nikko Travel Service Co. Ltd.

Nikko
Travel Service Co. Ltd. ("Nikko Travel") was established
and granted a first class travel agent license in 1962 as
a travel section of Nihon Kotsu Co. Ltd., a taxi, limousine
& charter bus operation company whose purpose was mainly
providing travel services to the taxi company, corporate
and government related office & organizations. Since
then, Nikko Travel has developed and extended its business
to include not only corporate travel arrangements but also
the domestic and overseas leisure markets. The company's
package tour is operated under the brand name "Try
Tour" which is widely recognized as a wholesale market
leader in tours to Hong Kong and Okinawa. Due to the popularity
of Korea and Japan as tourist destinations in recent years,
the company's package tour "Try Tour" has successfully
captured the market and is a leader in package tours to
Korea.
In 2003, the company was incorporated as a 100% subsidiary
of Nihon Kotsu Co. Ltd. and has started trading as Nikko
Travel Service Co. Ltd. It has succeeded all travel related
business from Nihon Kotsu Co. Ltd. and maintained offices
in Tokyo and Osaka.
This year, Japan Xpress Limited acquired 100% ownership
of Nikko Travel Service Co. Ltd. Under Japan Xpress's hospitality
business plan, besides the company's existing business,
the company plans to aggressively open travel stores nationwide
- 10 stores in Tokyo and Osaka and 10 stores in other cities
within 12-24 months. The company also commits to be a market
leader of tours to Hong Kong, China and Singapore in addition
to its Korean destinations. |

and Online Discount Card Limited ("ODCL") in October 2004.
Xpress Finance is a non-bank financial institution that
is licensed by MasterCard International, Inc. to operate
its MasterCard credit card business in Hong Kong. It is
also a financial services provider that specializes in niche
markets and focuses on customized corporate financing. |

October 2004, the Group acquired Anglo-French Travel Pte
Limited ("Anglo-French"). Anglo-French is a Singapore headquartered
travel management company focusing on corporate travel for
small and medium enterprises, government statutory boards,
multinational and global companies. In addition, Anglo-French
specializes in meetings, incentive and corporate event management.
Their leisure travel division handles land packages and
tours. Anglo-French ranked number 11 amongst 209 Billing
and Settlement Plan Agents in Singapore and has received
numerous accolades and awards. Anglo-French recorded revenue
of over S$88.7 million and S$69.8 million for the years
2002 and 2003.
